Welcome to Burd (referred to as "the Service," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of our platform, which facilitates the transformation of Notion pages into signable electronic contracts. By using the Service, you agree to these Terms. If you do not agree, please refrain from using the Service.
1. Purpose of the Service
The Service provides a platform for users to upload public Notion pages and convert them into signable electronic documents. Our role is limited to enabling the signature process and providing tools for electronic document signing. We do not:
Control or verify the content of the documents uploaded.
Mediate or participate in any transactions, agreements, or communications between you and your clients.
Provide legal advice or guarantee the enforceability of signed documents.
2. User Responsibilities
By using the Service, you acknowledge and agree to the following:
Content Responsibility:
You are solely responsible for the content, accuracy, and legality of the documents you upload and send for signing.
We do not review or validate the content of your documents. Any disputes arising from document content are solely between you and the other parties involved.
Legal Compliance:
You are responsible for ensuring that the documents you create and sign comply with applicable laws and regulations in your jurisdiction.
You acknowledge that the Service facilitates electronic signatures under applicable laws (e.g., ESIGN Act, eIDAS Regulation) but does not guarantee compliance with specific legal requirements for your use case.
Third-Party Relationships:
Any monetary transactions, agreements, or disputes arising between you and your clients or collaborators are outside the scope of the Service. We are not responsible for ensuring payment, resolving disputes, or enforcing agreements.
3. Consent to Electronic Signatures
By using the Service, all signers must:
Opt-in to sign electronically by confirming their intent during the signing process.
Acknowledge that their electronic signature is legally binding and holds the same validity as a handwritten signature under relevant laws.
Understand that the signing process does not imply our endorsement or guarantee of the document’s content.
4. Limitations of Liability
To the maximum extent permitted by law:

The Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Indirect Damages:
We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, or data, arising from your use of the Service.
Content Disputes:
We are not responsible for disputes related to the content of uploaded documents, including but not limited to errors, omissions, misrepresentations, or fraud.
Service Availability:
We do not guarantee uninterrupted access to the Service and are not liable for delays, disruptions, or data loss.
5. User Data and Privacy
Data Storage:
We do not store or process your document content. This zero-content approach ensures maximum privacy and security for your sensitive business documents.
Document Integrity:
To verify document integrity, we use a timestamp-based verification system that tracks document versions without accessing the content itself. This approach allows us to confirm document authenticity while maintaining complete privacy of your information.
Important Note on Modifications:
Any modification to the document after signing, including formatting changes (such as font styles, colors, or layout adjustments), will invalidate the document's integrity verification. We recommend finalizing all document formatting before proceeding with signatures.
Version Control:
When a document is signed, we record a version identifier based on the document's last modification time. This allows us to verify if a document has been modified after signing without needing to store or process the actual content. Once a document is signed, it should be treated as final, and any modifications will require new signatures.

6. Prohibited Uses
You agree not to use the Service for:
Uploading or distributing content that is illegal, fraudulent, defamatory, or infringes intellectual property rights.

Engaging in activities that could harm the Service, its users, or its infrastructure.
7. Termination
We reserve the right to suspend or terminate your access to the Service without notice if:
You violate these Terms.
Your use of the Service poses security, legal, or reputational risks.
8. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
Your use of the Service.
Content you upload or distribute.
Disputes with third parties related to documents or agreements created through the Service.
9. Governing Law
These Terms are governed by the laws of Alberta, Canada, without regard to its conflict of laws principles. Any disputes will be resolved in the courts of Alberta, Canada.
